Requirements: Position Description:

We are seeking a knowledgeable, organized, meticulous individual to join our small, busy department. The Contracts Assistant/Legal Assistant will report to the Associate General Counsel for Macmillan Learning and will assist with drafting and negotiating a wide variety of contracts and license agreements for Macmillan Learning. In general, the work involves use of existing templates and approved alternative provisions. The individual will work closely with two or three attorneys in the Legal Department and with our Director of Contracts. Please note this is not a lawyer position.

Major Responsibilities:

Drafting, reviewing and negotiating a wide variety of contracts including assignments of rights agreements, non-disclosure agreements, agreements with customers, and author agreements. This involves correspondence and negotiation with the counterparty, as well as communication with the in-house staff involved, including Editorial, Finance, Marketing and others.
Drafting and reviewing statements of work for Master Professional Services Agreements. This involves coordination with the in-house staff requesting the statement of work.
Drafting and reviewing agreements and amendments for translations rights. This involves coordination with the director of Translations rights.
Reviewing changes to our templates requested by rights holders for permissions licenses, and review of rights holders’ own forms, as requested by the Permissions department.
Analysis of contracts and license agreements for various departments.
Database entry of contract terms and details.
Scanning contracts into archival system.
Some administrative support with filing and upkeep of office systems and tracking of work flow.
Required Skills / Knowledge:

• Excellent analytical skills

• Strong written and oral communication skills

• Keen attention to detail

• Excellent organizational and time management skills

• Experience with Microsoft Word, Excel and Outlook

Experience Needed:

• Minimum three years direct experience drafting and negotiating a variety of types of contracts and license agreements

Educational Background Required:

• Bachelor’s degree
